RE: Appointment of Corporation Counsel

BOARD ACTION REQUESTED:
Approval of the appointment of Brian MacMillan as Genesee County’s Corporation Counsel.
BACKGROUND:
In December 2023, the Board of County Commissioners created the Office of Corporation Counsel. At that time, Mr. MacMillan was appointed Interim Corporation Counsel.
DISCUSSION:
Mr. MacMillan has served as the Interim Corporation Counsel for over three months. Prior to that, Mr. MacMillan served in office for 8 years and has demonstrated appropriate knowledge of the position and has been instrumental in protecting the county from adverse liability.
IMPACT ON HUMAN RESOURCES:
There is no impact on Human Resources. This position existed previously and is being reclassified through this reorganization.
IMPACT ON BUDGET:
There is no adverse impact on the budget. This reorganization will result in a reduction to the general fund.
IMPACT ON FACILITIES:
There will be no impact on facilities. The current office location includes space for this appointment and future space contemplated this move.
IMPACT ON TECHNOLOGY:
There will be no further impact to technology.
CONFORMITY TO COUNTY PRIORITIES:
This appointment, part of the larger creation of a stand-alone department, will help further the priority of Long-Term Financial Stability by appropriately staffing the department to meet future needs of the county while also reduce overall costs to the general fund.

TO THE HONORABLE CHAIRPERSON AND MEMBERS OF THE GENESEE COUNTY BOARD OF COMMISSIONERS, GENESEE COUNTY, MICHIGAN
LADIES AND GENTLEMEN:
BE IT RESOLVED, that this Board of County Commissioners of Genesee County, Michigan, hereby appoints Brian MacMillan to the position of Genesee County Corporation Counsel, said position being an exempt position under the County’s Personnel Policy Manual, the holder of which serves at the pleasure of this Board, and the duties of the Corporation Counsel shall be those prescribed in the job description for the position, those prescribed by statute, and those prescribed by the Board of Commissioners from time to time.
BE IT FURTHER RESOLVED, that Mr. MacMillan’s base annualized salary shall be $140,000 and that unless or until rescinded or modified by action of this Board, the Corporation Counsel shall receive, in addition to the base salary, all other allowances and benefits currently in effect for County Department Heads in general, in accordance with, and subject to, established County personnel policies, and subject to such variations in benefits as are dependent upon date of commencement of County employment.
BE IT FURTHER RESOLVED, that this Board reserves all authority it has to rescind or modify, through future action, the salaries, allowances, and benefits of all County-funded personnel positions, including but not limited to rescinding or modifying any salary adjustment provided in this resolution.
