Approval of 5-year agreement with annual renewals between Genesee County and i3 Verticals, LLC (i3-ImageSoft)
BACKGROUND:
OnBase is the document imaging and workflow system that is a critical tool that departments rely on for daily operations. It is used across many County departments, including Payroll, Friend of the Court, all Courts (67th and Circuit), Human Resources, among others.
DISCUSSION:
The Genesee County Information Technology Department recommends awarding the RFP #26-500 to i3 Verticals, LLC, the sole bidder, for OnBase licensing and services under a five-year agreement, renewed annually. The five-year term provides the County with the most favorable pricing and helps maintain consistent costs throughout the agreement. OnBase serves as the County’s enterprise content management system and supports automated workflows, secure document storage, records retrieval, retention schedules, audit trails, and role-based access to sensitive information. Renewing the licensing and services will help maintain uninterrupted access, vendor support, system upgrades, and security patches. Failure to renew could disrupt departmental workflows, limit access to records, and create potential compliance and security risks.
IMPACT ON HUMAN RESOURCES:
There is no immediate impact on Human Resources. However, failing to renew Onbase services would disrupt the department’s ability to complete daily operations.
IMPACT ON BUDGET:
This is a planned and budgeted renewal. Moving to a 5-year agreement with annual renewals will save approximately $154,300.00 overall. First year not to exceed $217,477.30 and starts November 1, 2026 - 10/31/2027; additional annual renewal costs are attached for remaining years. Costs to be paid from FY27 1010-228.01-933.001 - $199,006.63 and pre-paid account 1010-000.00-123.000 - $18,470.67. Subject to approval of the FY27 budget and the available funds for following year renewals.

TO THE HONORABLE CHAIRPERSON AND MEMBERS OF THE GENESEE COUNTY BOARD OF COMMISSIONERS, GENESEE COUNTY, MICHIGAN
LADIES AND GENTLEMEN:
BE IT RESOLVED, by this Board of County Commissioners of Genesee County, Michigan, that the request by the Chief Information Officer to authorize entering into a 5-year agreement with annual renewals between Genesee County and i3 Verticals, LLC (i3-Imagesoft), to provide OnBase licensing and services at a cost for the first year not to exceed $217,477.30 to be paid from and subject to approval of the FY27 budget account 1010-228.01-933.001 ($199,006.63) and pre-paid account 1010-000.00-123.000 ($18,470.67), with additional renewals being subject to approved budgets and funds available with the overall 5-year agreement total cost not to exceed $1,327,720.67, is approved (a copy of the memorandum request and supporting documentation being on file with the official records of the August 12, 2026 meeting of the Public Works Committee of this Board), and the Chairperson of this Board is authorized to execute any contract documents, after review and approval by Corporation Counsel, on behalf of Genesee County.
